Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern services purchased from Kemp Advisory Group, LLC (“KAG,” “we,” “us”), a Texas limited liability company, by any individual or organization (“Client,” “you”). By checking the acceptance box at checkout, signing a proposal or statement of work, or paying an invoice, you agree to these Terms and to our Refund, Cancellation & Revision Policy, which is part of these Terms.

If a signed proposal, statement of work, purchase order, or government contract conflicts with these Terms, that signed document controls for that engagement.

2. Services and Scope

Each service includes only the deliverables described on its service page, proposal, or statement of work as of the date of purchase (the “Scope”). Published prices reflect standard scope. Work outside the Scope — including additional deliverables, pages, revisions, hours, or travel — is quoted and billed separately before it begins.

Timelines are estimates and depend on timely receipt of your information, materials, access, and feedback.

3. Client Responsibilities

You agree to provide accurate and complete information, timely access to materials, systems, and subject-matter experts, and consolidated feedback within agreed review windows. You are responsible for the accuracy of information you provide and for decisions you make based on our work. Delays caused by missing information or late feedback may extend timelines and do not entitle you to a refund.

4. Payment

Standard “Book & Pay” services are paid in full at checkout through our payment processor, Stripe. Custom commercial engagements are typically invoiced 50% at project initiation and 50% before final delivery unless the proposal states otherwise. Government and public-sector engagements follow the payment terms in the applicable purchase order or contract.

Prices are in U.S. dollars. Applicable sales tax is calculated at checkout or on the invoice. Government filing fees, platform and subscription fees, domain costs, licenses, and other third-party costs are not included unless expressly stated and are your responsibility.

KAG does not receive or store full payment-card numbers; card payments are processed by Stripe under Stripe’s terms and privacy policy.

5. No Legal, Tax, or Financial Advice

KAG provides consulting, training, instructional design, and administrative support. KAG is not a law firm or accounting firm and does not provide legal, tax, accounting, or investment advice. Consult a qualified professional for those matters.

6. No Guaranteed Outcomes

We deliver professional services, not outcomes controlled by third parties. KAG does not guarantee contract awards, registration approvals or processing times, certifications, funding, employment, interviews, search rankings, revenue, or any decision made by a government agency, employer, platform, or other third party.

7. Approvals and Acceptance

Deliverables are considered accepted when you approve them in writing (including by email) or, if you do not request revisions within fourteen (14) calendar days of delivery, at the end of that period. Revisions are handled as described in the Refund, Cancellation & Revision Policy.

8. Intellectual Property

Upon payment in full, you own the final deliverables created specifically for you, excluding KAG’s pre-existing materials, templates, frameworks, methods, and know-how, and third-party materials (such as stock images, fonts, and software), which remain the property of their owners and are licensed to you as needed to use the deliverables. KAG will not display your deliverables publicly without your permission.

9. Confidentiality

Each party will protect the other’s non-public information received in connection with the services and use it only to perform or receive the services, except as required by law. Government engagements are subject to the applicable contract’s confidentiality and records requirements.

10. Accounts and Third-Party Platforms

When we set up domains, email, phone, websites, or registrations, accounts are created in your name or transferred to you, and you are responsible for their ongoing fees, security, and compliance with the platform’s terms. KAG is not responsible for outages, policy changes, or actions of third-party platforms or agencies.

11. Records and Communications

You agree that we may communicate with you electronically and that electronic acceptance (including the checkout acceptance box) has the same effect as a signature. KAG retains business records of each engagement, which may include payment receipts, the version and date of these Terms accepted, invoices, project correspondence, delivery records, and your approvals.

12. Limitation of Liability

To the fullest extent permitted by law, KAG’s total liability arising out of or relating to any service is limited to the amount you paid KAG for that service, and KAG is not liable for indirect, incidental, special, consequential, or lost-profit damages.

13. Termination

Either party may end an engagement by written notice. Fees for work performed through the termination date are due, and refunds, if any, are governed by the Refund, Cancellation & Revision Policy.

14. Financial Assistance

Financial assistance offered by Cornerstone Clay Community Development Corporation is administered solely by Cornerstone Clay. KAG does not determine eligibility or awards. Any portion of a fee not covered by an approved award remains the Client’s responsibility.

15. Governing Law

These Terms are governed by the laws of the State of Texas. Venue for any dispute lies in the state or federal courts serving Smith County, Texas, unless a government contract requires otherwise. Before filing any dispute or payment chargeback, please contact us so we can try to resolve the concern.

16. Changes to These Terms

We may update these Terms from time to time. The version and effective date appear at the top of this page. The version you accepted at the time of purchase applies to that purchase.
